Terms of Service

1. Parties and operator

These Terms of Service ("Terms") govern your use of the SupCarta website (supcarta.com) and the supply chain compliance operations services offered by SupCarta ("Service"). The Service is operated by Nitesh Garg, Delhi, India ("Operator", "we", "us").

SupCarta is not a registered legal entity at the date of these Terms. Entity formation is in progress. {{TODO: legal review before any paying customer — update with registered entity details once formed}}

2. Service description

SupCarta provides supply chain compliance operations services including trade and customs documentation support, ESG questionnaire and audit response, supplier compliance operations, documentation and classification, and AI-assisted compliance monitoring. Specific scope is agreed in writing for each engagement.

SupCarta is not a licensed customs broker of record, does not provide legal advice, and does not act as an importer or exporter of record.

3. Pilot program

The founding pilot program provides a 30-day, full-scope engagement at no charge to the first three founding customers. The pilot may be terminated by either party at any time without penalty. On termination, we will deliver all work product produced to date. The pilot is subject to these Terms in all other respects.

4. Fees and payment

Fees for ongoing engagements are agreed in a written engagement letter prior to commencement. The pilot program is provided at no charge. {{TODO: legal review before any paying customer — add payment terms, late payment, currency, invoicing}}

5. Intellectual property

Work product delivered to a client (e.g., classification decisions, completed questionnaire responses, documentation dossiers) becomes the property of the client upon delivery. SupCarta retains rights to its underlying methodologies, tools, and frameworks. {{TODO: legal review before any paying customer}}

6. Confidentiality

We treat all client and supplier documentation and business information as confidential. We will not disclose it to third parties except as necessary to deliver the service, as required by law, or with the client's written consent. 7. Data processing

Client and supplier data is processed as described in our Privacy Policy. We process data on behalf of the client (as data processor) and do not resell, share, or use it for secondary purposes. We hold client and supplier documents only for the duration of the engagement and delete them on request after termination, subject to any legal retention obligations. {{TODO: legal review before any paying customer}}

8. Limitation of liability

The Service is provided on a best-efforts basis. SupCarta is not responsible for losses arising from reliance on compliance documentation that has been subsequently changed by regulatory update, nor for losses arising from regulatory authorities making interpretations of law that differ from our guidance. {{TODO: legal review before any paying customer — add liability caps, consequential loss exclusion, indemnities}}

9. Termination

Either party may terminate an engagement with 14 days' written notice. During the pilot, either party may terminate immediately and without notice. On termination, all accrued fees become due, and SupCarta will deliver all work product to date within 7 business days. {{TODO: legal review before any paying customer}}
